Yes, it overwrites/updates IE7. I just installed it 'ontop' of IE7 on four of my computers without any problems. Just download and execute, and it will guide you through the install.
After install, there is still an IE7 (hidden) folder in Windows, and an IE7 Updates folder.
All your Favourites will be intact.
I always create a 'Restore Point' before installing something like this. Doesn't look like I'll have to use it...
