Got a link to just the conv3ds tool without the rest of the silly DirectX SDK (they don't even ship it with the SDK anymore I found out, you have to get DirectX 7  )

there is a tool called Crossroads which I think can do what you want, but it might be a little buggy.

EDIT: Well.. it supports 3DS, and writes to .X, but it can read .X |
